City Partner Cooperation Agreement

This City Partner Cooperation Agreement (the "Agreement") is entered into between Antigravity (the "Brand") and the individual applying to be a City Partner (the "Partner"). By participating in the program, the Partner agrees to the following terms and conditions.

1. ELIGIBILITY

1.1 Affiliate Status: To participate, the Partner must first register for the Antigravity Affiliate Program (https://www.antigravity.tech/us/affiliate/intro).

1.2 Licensing & Compliance: The Partner warrants that they fully possess all valid flight and business qualifications/license/certification and permits mandated by relevant local, national, or regional administration authorities (including but not limited to the aviation authorities) for the operation of the Antigravity A1 during demonstration sessions.

1.3 Equipment: The Partner shall use their own Antigravity A1 in good working condition for all test flight sessions. The Partner warrants that the drones used for the test flights have been strictly registered and legally documented in accordance with local laws and regulations.

1.4 Insurance: The Partner is responsible for understanding and following all local laws on drone flight insurance applicable to its operations. Any legally required insurance shall be procured and maintained. Even when not required, the Brand encourages the Partner to consider obtaining third-party liability insurance as a prudent business precaution.

2. SCOPE OF SERVICES

2.1 Nature of Relationship: The Partner is an independent contractor. This Agreement does not create an employer-employee relationship, agency, partnership, or joint venture between the parties. The City Partner has no authority to sign contracts, make promises, or incur any debt on behalf of the Brand.

2.2 Autonomy: The Partner has full independent discretion to accept or decline test flight requests. The Partner and the prospective customer ("Participant") shall mutually agree upon the date, time, and specific location for the session.

2.3 Sales Disclaimer: The Partner acknowledges that participation in a test flight does not guarantee a product purchase by the Participant.

3. BENEFITS

3.1 Test Flight Registration Fee: Upon successful completion of a test flight session, the Partner is entitled to the full US$14.99 USD registration fee paid by the Participant.

3.2 Sales Commission: The Brand will provide a specialized commission rate of 7% of the net sale amount for products sold via the Partner's unique link.

Example: For an Infinity Bundle sold at full price, the commission is approximately US$139.9 USD.

3.3 Link Restriction: The Partner's unique affiliate link is strictly for private sharing with verified test flight Participants. Publicly posting the link on social media, forums, or coupon websites is prohibited. Violation of this rule will result in the immediate cancellation of pending commissions and removal from the program.

3.4 Payout Schedule: Accumulated service fees and commissions will be processed and paid out on a monthly basis.

3.5 Insider Access & Early Testing: At the Brand's discretion, the Partner may be selected to receive early firmware updates, new products, or upcoming accessories for the purpose of testing and providing professional feedback before official public release.

4. OPERATIONAL SAFETY

4.1 Operational Compliance: All test flights must be conducted in strict accordance with local laws and aviation regulations. Furthermore, during the test flight, the City Partner must operate the drone strictly in accordance with the product manuals and safety guidelines provided by Antigravity, including but not limited to the following requirements:

4.1.1 Site & Crowd Safety: Test flights must be conducted in suitable, open environments. Flying in statutory no-fly zones, such as airport clearance zones, military restricted areas, along railways/highways, or at large public events, is strictly prohibited. The drone must be kept away from densely populated areas and buildings to prevent personal injury or property damage in the event of an accidental crash.

4.1.2 Qualifications & Registration Compliance: The Partner must complete drone device registration (if required) and obtain necessary pilot certifications in accordance with local national or regional laws, ensuring that test flight activities are conducted under legal authorization.

4.1.3 Prohibition of Illegal & Military Use: This product is strictly limited to civilian and consumer-level use. It is strictly prohibited to use the drone for any illegal purposes, including but not limited to: military purposes, terrorism, espionage, destruction of public property, transportation of hazardous/contraband materials, or any acts violating international export control regulations.

4.1.4 Privacy & Data Protection: Drone aerial photography must strictly comply with local privacy and data protection laws (e.g., GDPR). Unauthorized infringement of third-party personal privacy is strictly prohibited, as is the recording of private residences, corporate confidential areas, or sensitive government/military facilities.

4.1.5 Environmental & Interference Avoidance: Flights must be conducted in suitable weather conditions. Forced take-offs in adverse weather such as strong winds, rain, or snow are strictly prohibited. The drone must be kept away from areas with strong electromagnetic interference, such as high-voltage power lines and base stations, to ensure the safety of the aircraft's control link.

4.2 On-Site Supervision & Customer Safety Management: The Partner warrants that they will never leave the site during the test flight. The Partner must provide adequate pre-flight safety training to the potential user and maintain close, one-on-one supervision throughout the entire flight, ensuring the ability to take over control at any time. The Partner must legally fulfill the duties of a "Visual Observer".

4.3 Flight Mode Restrictions: Due to the varying skill levels of Participants, the Partner must prioritize safety at all times. The use of "Sport Mode" (S-Mode) is strictly prohibited during test flights. Partners must ensure the aircraft remains in C-Mode or N-Mode for the duration of the demonstration.

4.4 Venue Recommendation: The Brand recommends selecting open, outdoor areas free of obstructions (buildings, power lines, etc.) to ensure a safe and high-quality experience.

5. ACCIDENTAL DAMAGE

5.1 Coverage: If a crash occurs during and directly arising from an authorized test flight session, and provided that the Partner is in full compliance with all applicable laws and flight safety regulations,, the Brand will cover 100% of the repair costs.

5.2 Verification Process: To qualify for coverage, the Partner must:

  • Identify the drone's Serial Number (SN).
  • Capture clear photos of the accident scene and the damage.
  • Sync and upload the flight logs via the Antigravity App.

5.3 Approval: Coverage is subject to verification of the log data and incident report by the Antigravity After-Sales Team. The Brand reserves the right to request additional information to verify the cause of the crash.

5.4 Exclusions: The Brand shall not be liable for any repair costs if the investigation reveals that the damage was caused by: (a) Intentional acts, willful misconduct, or fraud; (b) Gross negligence or violation of safety guidelines (e.g., flying in restricted zones, severe weather conditions, or under the influence); (c) Unauthorized modifications or use of third-party accessories; or (d) Any operations outside the scope of the authorized test flight.

6. BRAND REPUTATION & CONDUCT

6.1 Professionalism: The Partner shall act professionally and avoid any behavior that may disparage or harm the reputation of the Antigravity brand. False advertising, exaggerating product performance, or making after-sales promises not officially endorsed by the Brand during the test flight is strictly prohibited. The Partner shall independently resolve and compensate for any customer disputes arising from misrepresentation.

6.2 Termination: The Brand reserves the right to terminate this Agreement immediately if the Partner engages in misconduct, illegal activities, or breach of the terms herein.

7. LIMITATION OF LIABILITY

As an independent promotional partner, the City Partner assumes full responsibility for their actual operations during the test flight. In the event of any third-party injury, property damage, or government penalties resulting from the Partner's negligence, regulatory violations (e.g., unlicensed flying, entering no-fly zones), or failure to uphold safety obligations, the Partner agrees to bear the corresponding legal responsibilities, resolve the disputes, and hold the Brand harmless from any resulting claims or losses.

8. DATA & PRICACY PROTECTION

8.1 The participants' personal information (including names, contact details, etc.) provided by the Brand to the Partner is highly confidential personal data.

8.2 The Partner shall use such information solely for the purpose of "arranging this specific test flight activity."

8.3 It is strictly prohibited to sell, leak, or share participant information with any third party, or use it to send unsolicited marketing spam.

8.4 Upon completion of the test flight, or if the participant explicitly declines the test flight, the Partner must immediately delete the relevant user data in compliance with applicable local data protection laws (e.g., GDPR, CCPA).
